NO DEPOSIT, PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN

Effective May 1, 2020

The following promotion is intended for participants in the United States and the District of Columbia only and shall be construed and evaluated according to the laws of the United States. Do not proceed in this promotion if you are not a legal resident of the United States. Further eligibility restrictions are contained in the official rules below.

ELIGIBILITY: The “Stash Cash Monthly Sweepstakes” (the “Sweepstakes”) is offered by Stash Cash Management, LLC (“Stash”), an affiliate of Stash Financial, Inc. Stash is not a bank or depository institution licensed in any jurisdictions. Sweepstakes is open to legal residents of the 50 United States, the District of Columbia and Puerto Rico who (i) are at least eighteen (18) years of age, (ii) are a Stash Invest Account Holder (as defined below) at the time of entry, and (iii) receive an invitation to participate in this Sweepstakes directly from Stash (“Entrants”). Void in all U.S. territories and possessions and where prohibited by law. This Sweepstakes is governed by U.S. law and is subject to all applicable federal, state and local laws and regulations. Entrants may be required to meet certain provisions of the Investment Advisers Act of 1940, 15 U.S.C. ¬ß 80b-1, and the rules thereunder. Entrant must have Internet access in order to enter the Sweepstakes. Each Entrant must be the rightful owner (or have authorized use) of the e-mail address identified in the Entrant’s entry and/or the Entrant’s Stash Invest Account (as defined below). Stash will use commercially reasonable efforts to exclude employees of Stash, and its respective affiliates, subsidiaries, parents, advertising, promotion and fulfillment agencies and members of the immediate family or household of each, from being eligible to win prizes under this Sweepstakes. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee. Stash will be referred to herein as “Sponsor.” For purposes of this Sweepstakes, a “Stash Invest Account” is an individual taxable brokerage account advised by Stash Investments LLC that is in good standing. Each person who has completed the process of opening a Stash Invest Account will be deemed a “Stash Invest Account Holder” hereunder. Stash Investments LLC, an affiliate of Sponsor, reserves the right to determine in its sole discretion whether a Stash Invest Account is closed and/or in good standing. An account in good standing for purposes of this Sweepstakes is an account for which all required account opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If an Entrant’s Stash Invest Account is closed or not in good standing for any reason at any time, any prizes you win in accordance with these rules may be forfeited.

TIMING: Sweepstakes begins on May 1, 2020 at 12:00:01 AM Eastern Standard Time (“EST”) and ends on May 31, 2020 at 11:59:59 PM EST (“Promotion Period”).

TWO (2) WAYS TO ENTER: (A) Open your First Stash Partition Entry Method: To enter, Entrants must complete the following two steps during the Promotion Period to earn five (5) Entries into the Sweepstakes (each such Entrant shall be deemed a “Stash Partition Holder” hereunder): (i) complete the process of opening a Stash Banking Account (as defined below), and (ii) complete the process of opening your First Stash Partition (as defined below). If you are already a Stash Partition Holder as of or prior to May 1, 2020, you will automatically receive five (5) Entries into the Sweepstakes; or (B) FREE Entry Method: To enter without being a Stash Partition Holder, or earning Additional Entries (as defined below) by making a deposit into your First Stash Partition or maintaining the minimum monthly balances described below, Entrants will be required to complete and submit a designated online Survey during the Promotion Period to earn ten (10) Entries into the Sweepstakes by visiting the following link: https://forms.gle/inzLfQPL2tErX8cb6. Each Entrant may submit up to five (5) designated online Surveys during the Promotion Period to earn up to a total of fifty (50) Entries into the Sweepstakes.

A “Stash Banking Account” is a debit account powered by Green Dot Bank, Member FDIC, that is and remains in good standing. You must pass Green Dot Bank’s customer identification procedures and otherwise be approved by Green Dot Bank for a Stash Banking Account, and you must agree to electronic delivery of disclosures, Green Dot Bank’s deposit account agreement, and any other account documentation required for opening in order to open a Stash Banking Account. There is no guarantee that you will be approved to open a Stash Banking Account.

OPENING YOUR FIRST STASH PARTITION: For purposes of these Official Rules, an Entrant’s “First Stash Partition” is the first Stash partition that such Entrant has created within their Stash Banking Account through an iOS or Android mobile device via the Stash mobile application either prior to or during the Promotion Period. In the event any Entrant subsequently creates a Stash partition within their Stash Banking Account after creating their First Stash Partition, only their first Stash partition will be deemed their “First Stash Partition” for purposes of this Sweepstakes. For the avoidance of doubt, a “Stash partition” for purposes of this Sweepstakes may be any type of Stash partition available on the Stash platform during the Promotion Period, including “needs”, “wants”, “surprises” or “customs” partitions.

EARN ADDITIONAL ENTRIES: During the Promotion Period, Stash Partition Holders can earn additional entries (“Additional Entries”) as follows:

You will receive ten (10) Additional Entries when you make your first deposit during the Promotion Period into any one of your Stash partitions within your Stash Banking Account, including your First Stash Partition; and
If the balance across all of your Stash partitions within your Stash Banking Account, including your First Stash Partition, equals (or is greater than) one of the amounts specified below at least once per day for fifteen (15) days or more during the Promotion Period (“Minimum Monthly Balance”), you can earn the following corresponding amount of Additional Entries:
1. Minimum Monthly Balance of $25: You can earn five (5) Additional Entries;
2. Minimum Monthly Balance of $50: You can earn fifteen (15) Additional Entries;
3. Minimum Monthly Balance of $100: You can earn twenty-five (25) Additional Entries;
4. Minimum Monthly Balance of $250: You can earn thirty (30) Additional Entries; OR
5. Minimum Monthly Balance of $500: You can earn thirty-five (35) Additional Entries

In the event your Minimum Monthly Balance satisfies more than one of the amounts specified above for at least fifteen (15) days during the Promotion Period, you will receive the corresponding amount of Additional Entries attributable to your highest Minimum Monthly Balance. Further and for the avoidance of doubt, any deposits made to any one of your Stash partitions within your Stash Banking Account, including your First Stash Partition, prior to the Promotion Period will not qualify for the ten (10) Additional Entries noted in (i) above, and you are only eligible to receive the ten (10) Additional Entries once upon your first deposit noted in (i) above during the Promotion Period. For purposes of this Sweepstakes, a deposit shall be considered complete once the transaction has fully settled.

Limit up to fifty (50) Entries Entry per Entrant during the Promotion Period, regardless of Entry Method. No responsibility is assumed by Sponsor for lost, late, misdirected, incomplete or stolen entries or for any computer, online, telephone or technical malfunctions that may occur. Sponsor may reject any Entry or Additional Entry it believes is the result of fraud or was submitted in violation of these official rules. Stash Retire (Traditional IRA and Roth IRA) and Stash Custodial Accounts are not eligible under this Sweepstakes.

RANDOM DRAWINGS/SELECTION OF WINNERS: One (1) random drawing (the “Random Drawing”) will be conducted on or about five (5) business days following the Promotion Period. One (1) potential Grand Prize Winner, one (1) potential First Prize Winner and one hundred forty-eight (148) potential Second Prize Winners will be selected in the Random Drawing from among all eligible Entries and Additional Entries received in the Promotion Period. A total of one hundred and fifty (150) Prize Winners will be selected during the Random Drawing. Odds of winning depend upon the number of eligible Entries, regardless of Entry Method, received in the Promotion Period. The Random Drawing will be conducted by Sponsor whose decisions are final and binding in connection with this Sweepstakes.

ONE HUNDRED FIFTY (150) PRIZES AND THEIR APPROXIMATE RETAIL VALUES (“ARV”) WILL BE AWARDED IN THE RANDOM DRAWING: ONE (1) GRAND PRIZE: One (1) Winner will receive one (1) one thousand dollar ($1,000) deposit directly into the cash balance of the Winner’s Stash Invest Account. ARV of Grand Prize: $1,000; ONE (1) FIRST PRIZE: One (1) Winner will receive one (1) reimbursement for one (1) personal monthly bill up to one thousand dollars ($1,000) that will be deposited directly into the cash balance of the Winner’s Stash Invest Account. The First Prize Winner will be required to provide a copy of the personal monthly bill to Centra360 prior to receiving the deposit into his/her Stash Invest Account. In the event the First Prize Winner’s personal monthly bill is less than one thousand dollars ($1,000), the First Prize Winner will not receive the difference between the actual value of the personal monthly bill and the maximum amount of the First Prize stated herein. ARV of First Prize: $up to $1,000; and ONE HUNDRED FORTY-EIGHT (148) SECOND PRIZES: One hundred and forty-eight (148) Winners will each receive a one-time deposit of twenty dollars ($20) directly into the cash balance of such Winner’s Stash Invest Account. ARV of each Second Prize: $20. TOTAL ARV OF ALL PRIZES AWARDED DURING THE PROMOTION PERIOD: up to $4,960. Limit one (1) Prize per Entrant during the Promotion Period. ALL EXPENSES, TAXES AND COSTS ASSOCIATED WITH ACCEPTANCE AND USE OF PRIZE NOT SET FORTH IN THESE RULES ARE THE OBLIGATION OF THE WINNERS. Prize substitutions are not allowed. Prizes cannot be assigned or transferred, except at discretion of Sponsor. Prizes are awarded WITHOUT WARRANTY OF ANY KIND from Sponsor, express or implied, without limitation.

GENERAL: The potential Grand Prize Winner and the potential First Prize Winner will be notified by Centra360, the Sweepstakes Administrator designated by Stash, by email and telephone within approximately five (5) days of the Random Drawing. The potential Grand Prize Winner and potential First Prize Winner will be required to complete, sign, execute and return an Affidavit of Eligibility and Liability, and where legal, a Publicity Release and an IRS W2 Form including the potential Winner’s social security number within five (5) days of first attempted notification. If Centra360 is unable to contact the potential Grand Prize Winner or the potential First Prize Winner after reasonable effort, or if the potential Grand Prize Winner or potential First Prize Winner fails to respond within five (5) days of first attempted notification, that prize may be forfeited and awarded to an alternate winner in a random drawing from among all remaining eligible Entries, regardless of Entry Method, received during the Promotion Period. If the potential Grand Prize Winner or the potential First Prize Winner fails to provide Centra360 with his/her social security number, that potential prize winner will be disqualified and that prize will be awarded to an alternate winner in a random drawing from among all remaining eligible Entries, regardless of Entry Method, received during the Promotion Period. By entering, Entrants (a) agree to be bound by the official rules and the decisions of Stash (including but not limited to eligibility determinations) which are final and legally binding in all respects; (b) agree to release Sponsor and each of its employees and agents from any and all liability, loss, damage or injury resulting from participation in this Sweepstakes or awarding, receipt, possession, use and/or misuse of any prize awarded herein and acknowledge that Sponsor and their employees and agents have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize including, but not limited to, its quality, mechanical condition or fitness for a particular purpose; (c) consent to use of his/her name, photograph and/or likeness for advertising and promotional purposes in connection with this Sweepstakes without additional compensation, unless prohibited by law; and (d) agree to Stash’s use of Entrant’s personal information as described in its privacy policy at https://www.stashinvest.com/theprivacypolicy.

INTERNET/WIRELESS: If, for any reason, the Internet portion of this Sweepstakes is not capable of running as planned, whether due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. In the event of termination, a random drawing to award the monthly Prizes will be conducted from entries received up until the time of termination. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Sweepstakes. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute, entries will be declared made by the authorized account holder of the e-mail address submitted at time of entry or attributable to such Entrant’s Stash Invest Account. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

DISPUTES: This Sweepstakes is governed by the laws of the United States and the State of New York, without respect to conflict of law doctrines. As a condition of participating in this Sweepstakes, participants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (e.g. costs associated with entering), and participant further waives all rights to have damages multiplied or increased.

PUBLICITY: By accepting a prize, each Prize Winner grants Sponsor the right, except where prohibited by law, to use his/her name, likeness, picture, address (city and state), e-mail address, voice, biographical information and written or oral statements, for advertising and promotional purposes in promoting or publicizing Sponsor and their respective products or services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), email address, biographical information, or entry. The rights granted under this paragraph shall extend to submissions and all other submitted materials related to the Sweepstakes, including those submitted by non-winners and winners.
