Terms and Conditions

The Promotion
Effective April 19, 2021 through August 1, 2021 (the “Promotion Period”), when you meet the eligibility requirements set forth below, complete the designated registration process of opening a Stash Invest Account (as defined below) and link a funding account to your Stash Invest Account in accordance with the terms of your offer to participate in this Promotion, you will be eligible to claim a one-time $5 stock reward into your Stash Invest Account, as further described below. This Promotion is subject to the terms and conditions stated herein (the “Promotion Terms”).
Eligibility
To be eligible to receive a Stock Reward (as defined below) under this Promotion, you must receive an offer to participate in this Promotion directly from Stash and complete all of the following steps during the Promotion Period: (i) complete the interactive instructions included in your offer to participate in this Promotion, including visiting https://www.stash.com/challenge and selecting one stock from the predetermined list of one or more publicly-traded companies available on the Stash Platform (as defined herein) that are offered to you; (ii) complete the designated registration process of opening an individual brokerage account advised by Stash Investments LLC that is in good standing (a “Stash Invest Account”); (iii) link a funding account (e.g. an external bank account) to your Stash Invest Account; AND (iv) claim your Stock Reward (as defined below) in accordance with the following paragraph.
Once you complete steps (i), (ii) and (iii) in the previous sentence, you will receive an email from Stash to “Claim your stock”, which will correspond to the publicly-traded stock that you selected in step (i) above, and you must click or tap the “claim” icon that will appear in the email and then complete any subsequent interactive instructions presented to you by Stash during the Promotion Period in order for your Stock Reward to be credited to your Stash Invest Account. If you do not select “claim”, if you select “decline”, or if you otherwise fail to accept your offer in accordance with the interactive instructions included in your email offer from Stash, you will not be eligible to receive a Stock Reward hereunder. Stash will determine in its sole discretion whether you have successfully claimed your Stock Reward in accordance with these Promotion Terms.
If you satisfy the conditions stated above during the Promotion Period, Stash will credit you with a stock reward in the publicly-traded stock you selected in step (i) above in an amount equal to five dollars ($5.00) (a “Stock Reward”). Stash will determine the list of such publicly-traded companies that may comprise a Stock Reward in its sole discretion from all publicly-traded securities available for purchase on the Stash Platform, and may change the predetermined selection of publicly-traded companies that may comprise a Stock Reward hereunder from time-to-time in its sole discretion without notice to you. You may only select one publicly-traded company for your Stock Reward from the predetermined list offered to you.
You are only eligible to receive one Stock Reward under this Promotion. Further and for the avoidance of doubt, tax-advantaged accounts (including Stash Retire and Stash Custodial accounts) and a Stash Smart Portfolio are not eligible for this Promotion. Each Stock Reward shall be limited to a maximum cash value of $5.00. Your Stock Reward must remain in your Stash Invest Account for ninety (90) calendar days beginning from the date the Stock Reward is deposited into your Stash Invest Account and for the entirety of the 90-day period. The Stock Reward deposited by Stash is not a recommendation to buy any specific stock or other security, nor does it constitute investment advice. For the avoidance of doubt, in the event you only complete the designated registration process to receive the Financial Counseling Service (as defined in your Advisory Agreement) from Stash, as applicable to you, or do not otherwise complete the designated registration process required for opening a Stash Invest Account, you will not be eligible to receive a Stock Reward under this Promotion.
Your Stash Invest Account must be in good standing in order to participate in this Promotion and to receive the one-time Stock Reward hereunder. Stash reserves the right to determine in its sole discretion whether an account is closed and/or in good standing. An account in good standing for purposes of this Promotion is an account for which all required opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If your Stash Invest Account is closed or not in good standing for any reason at any time, your eligibility to participate in this Promotion and any Stock Reward you receive will be forfeited.
Crediting Your Stock Reward
By accepting an offer to earn a Stock Reward, you are making a decision to invest in that specific underlying stock and you agree that it is your responsibility to review and carefully consider the underlying stock, including the information available to you through the Stash mobile applications and website (collectively, the “Stash Platform”) about such underlying stock, before choosing to accept a Stock Reward hereunder. Neither this Promotion itself, nor the stock available to be earned through it, is a recommendation to buy any such specific stock. The value of any Stock Reward you receive may fluctuate over time due to a variety of factors. Please refer to the Stash Platform for a list of all investments that are available for purchase. Stash reserves the right to change the list of investments available on the Stash Platform at any time and from time to time in its sole discretion.
By accepting a Stock Reward hereunder, you are agreeing to initiate a “buy” order for such underlying stock in the amount of your Stock Reward. To deliver a Stock Reward to your Stash Invest account, Stash Investments LLC will deposit the monetary amount of your Stock Reward into your Stash Invest Account and automatically initiate a “buy” order for such underlying stock in the amount of the Stock Reward. By accepting an offer to earn a Stock Reward, you are authorizing Stash Investments LLC to direct, and Stash Capital LLC to execute, an order to buy the specific underlying stock offered to you. A Stock Reward may take up to five (5) business days to be reflected in your Stash Invest Account. For the avoidance of doubt, you have the ability to decline the offer to earn any Stock Reward, and the ability to sell any Stock Reward earned under this Promotion, after you receive it in your Stash Invest Account.
By participating in this Promotion, you grant Stash Investments LLC the limited discretionary authority required to complete the securities transaction necessary to complete the Stock Reward. Specifically, Stash Investments LLC will have discretion over the cash credited to your Stash Invest Account pursuant to these Promotion Terms only to the limited extent necessary to fulfill your Stock Reward. This discretionary authority is in addition to the limited discretionary authority you have already granted to Stash Investments LLC pursuant to your Advisory Agreement, as amended, that you agreed to when you opened your Stash Invest Account. Accordingly, your acceptance of these Promotion Terms and participation in this Promotion expressly amends and modifies your Advisory Agreement as of the date you initially accept these terms, and you are hereby notified of such amendment and modification by these terms.
