The following promotion is intended for participants located in the United States and the District of Columbia only and shall be construed and evaluated according to the laws of the United States. Do not proceed in this promotion if you are not a legal resident of the United States. Further eligibility restrictions are contained in the official rules below.

WHAT IS STASH101^TM FANTASY INVESTING? “Stash101^TM Fantasy Investing” (the “Game”) is offered by Stash101 LLC (“Stash101” or “Sponsor”), an affiliate of Stash Financial, Inc. Stash101 is not a bank or depository institution licensed in any jurisdictions, nor is it a registered investment adviser or broker-dealer. Stash101 is offering the Game solely for educational and informational purposes.

The Game is a free, simulated, educational tool designed to teach individuals about investing in a simple, easy to use format. To submit an Entry (as defined below), you will be required to select a predetermined amount of stocks of publicly-traded companies and/or exchange-traded funds (“ETFs”), as further described below, to fill the available entry slots associated with your Entry. Once you’ve submitted your Entry, the Game will assign points to your Entry based on the performance of the stocks you’ve selected during the applicable Game Period (as defined below). A select amount of winners will earn cash prizes, as further described below. You are not required to make any payment, complete a purchase, or otherwise provide any other form of monetary consideration to submit an Entry. The Game is free to play, and does not required any payment of actual money. A purchase or payment of any kind will not increase your chance of winning. Do not pay any third party to join this Game.

The Game is subject to these Official Rules. By participating in the Game, you are accepting and agreeing to these Official Rules. These Official Rules form an agreement between you and Stash101 with respect to the Game. You should read these Official Rules carefully. Participation in the Game is also governed by the Stash101 Terms of Use and the Stash101 Privacy Policy, which are incorporated by reference with the same force and effect as though fully set forth herein.

ELIGIBILITY: The Game is open to legal residents of the fifty (50) United States of America and the District of Columbia and Puerto Rico who at the time of Entry (i) are at least 13 years of age, and (ii) have a Stash101 Account (as defined below) (individually defined as “Entrant” and collectively defined as, “Entrants”). Notwithstanding the foregoing, Entrants must be at least 18 years of age to be eligible to win prizes hereunder. The Game is void in all U.S. territories and possessions and where prohibited or restricted by law. The Game is governed by U.S. law and is subject to all applicable federal, state and local laws and regulations. Entrants must have Internet access in order to enter the Game. Each Entrant must be the rightful owner (or have authorized use) of the email address identified in the Entrant’s Stash101 Account. Stash101 will use commercially reasonable efforts to exclude employees of Stash101, and its respective affiliates, subsidiaries, parents, advertising, promotion and fulfillment agencies and members of the immediate family or household of each, from being eligible to win prizes hereunder. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee. For purposes of the Game, a “Stash101 Account” is an account held by an Entrant with Stash101 that is in good standing. Stash101 reserves the right to determine in its sole discretion whether a Stash101 Account is closed and/or in good standing. An account in good standing is an account for which all required account opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If an Entrant’s Stash101 Account is closed or not in good standing for any reason at any time, you may no longer be eligible to participate in this Game and any prizes you win in accordance with these rules may be forfeited.

HOW TO ENTER: To submit one (1) entry into the Game (an “Entry”), Entrants must complete the following steps prior to the start of the applicable Game Period (as defined below): (i) download the FREE “Stash101 Fantasy Investing“ mobile application on either iOS or Android (collectively, the “Game Platform”), (ii) log into your Stash101 Account, (iii) select one (1) qualifying publicly-traded stock or ETF for each of the designated available entry slots during the Game Period, as detailed by the interactive instructions presented to you on the Game Platform, and (iv) lock and submit your Entry by clicking the “Submit Your Team“ button. Stash101 will determine for the Game Period the amount of available designated entry slots and which specific publicly-traded stocks or ETFs qualify for each designated entry slot, which may vary from time to time at the sole discretion of Stash101. This information will be presented to you on the Game Platform at the time you submit your Entry. A valid Entry consists of completing a publicly-traded stock or ETF selection for all of the available designated entry slots.

Limit up to one (1) Entry per Entrant during each Game Period, regardless of Entry Method. No responsibility is assumed by Sponsor for lost, late, misdirected, incomplete or stolen entries or for any computer, online, telephone or technical malfunctions that may occur. Sponsor may reject any Entry it believes is the result of fraud or was submitted in violation of these Official Rules. Entries must be made by the Entrant. Final eligibility for the award of any prize hereunder is subject to eligibility verification as set forth below.

When selecting your publicly-traded stocks or ETFs at the time of Entry, Stash101 will use commercially reasonable efforts to display historical performance data, dividend information, and other key metrics through the Game Platform. Past performance is not necessarily indicative of future results. Other events which were not taken into account may occur, and any projections, outlooks or assumptions should not be construed to be indicative or actual or future results. All product and company names are trademarks^TM or registered trademarks^(R) of their respective holders. Use of them does not imply any affiliation or endorsement of them by Stash101. While all the information displayed on the Game Platform is intended to be accurate, Stash101 makes no express guarantee as to the completeness or accuracy of, nor can it accept any responsibility for errors appearing in, such materials.

GAME PERIOD: The Game will begin on October 17, 2022 at 9:30 AM Eastern Time (“ET”) and will end on October 21, 2022 at 4:00 PM ET (the “Game Period”).

DETERMINING THE WINNERS: Upon the completion of each Game Period, Stash101 will evaluate the performance of all Entries submitted during that applicable game period and select the ten (10) Entries that earned the highest investment performance based on Stash101’s investment scoring system described below (each a “Winner”, and collectively, the “Winners”). Stash101 will score each investment included in each Entry as follows:

Stocks of publicly-traded companies, regardless of sector, will earn one (1) point for every one-tenth of a percent (0.1%) increase in its share value during the applicable Game Period;
ETFs that consist of stocks of publicly-traded companies, regardless of sector or specific investment strategy, will earn one (1) point for every one-tenth of a percent (0.1%) increase in its share value during the applicable Game Period; and
ETFs that consist of bonds, regardless of sector or specific investment strategy, will earn five (5) points for every one-tenth of a percent (0.1%) increase in its share value during the applicable Game Period.

For example, if a stock of a publicly-traded company increases in value by 2.1% during the applicable Game Period, that Entry will earn twenty-one (21) points. If an ETF that consists of bonds earns 0.5% during the applicable Game Period, that Entry will earn twenty-five (25) points. The process for evaluating the performance of each Entry, assigning points to each Entry based on the criteria set forth above, and selecting the Winners will be conducted entirely by Sponsor in its sole discretion whose decisions are final and binding. Stash will use commercially reasonable efforts to update its scoring system every fifteen (15) minutes on the Game Platform during the Game Period so you can track the performance of your Entry.

TEN (10) PRIZES AND THEIR APPROXIMATE RETAIL VALUES (“ARV”) WILL BE AWARDED DURING THE GAME PERIOD: A total of ten (10) Winners will be selected by Stash101 based on the final results of Stash101’s investment scoring system used during the Game Period. The Winners will be announced within five (5) business days following the end of the Game Period.

The Winners will receive the following one-time prizes (each, a “Prize Level”):

The Entrant who earned the highest investment performance during the Game Period will be deemed the First Place Prize Winner: One (1) Winner will receive a gift card in an amount equal to twenty five percent (25%) of the Game Prize Pool (as defined below);
The Entrant who earned the second highest investment performance during the Game Period will be deemed the Second Place Prize Winner: One (1) Winner will receive a gift card in an amount equal to twenty percent (20%) of the Game Prize Pool;
The Entrant who earned the third highest investment performance during the Game Period will be deemed the Third Place Prize Winner: One (1) Winner will receive a gift card in an amount equal to fifteen percent (15%) of the Game Prize Pool;
The Entrant who earned the fourth highest investment performance during the Game Period will be deemed the Fourth Place Prize Winner: One (1) Winner will receive a gift card in an amount equal to ten percent (10%) of the Game Prize Pool; and
The Entrants who earned the fifth, sixth, seventh, eighth, ninth and tenth highest investment performances during the Game Period will each be deemed a Fifth Place Prize Winner: Six (6) Winners will each receive a gift card in an amount equal to five percent (5%) of the Game Prize Pool.

In the event of a tie for any of the Prize Level placements listed above, Sponsor will award the prize among all Entrants tied for that corresponding Prize Level placement based upon their respective time the Entry was received by Sponsor (from earliest to latest). Then, all remaining Entrants that tied for that respective Prize Level placement will be awarded the next ranked prize listed above based upon their respective time the Entry was received by Sponsor (from earliest to latest) until all remaining tied Entrants have been awarded a prize. In the event more than ten (10) Entrants are tied for the highest investment performance, the Entrant with the earliest time the Entry was received by Sponsor will win the First Place Prize, the Entrant with the second earliest time the Entry was received by Sponsor will win the Second Place Prize, and so forth until all corresponding prizes have been awarded by Sponsor. Additionally, in the event there are more tied Entrants for a respectively placed prize than the amount of remaining prizes left for Sponsor to award based on the above, then Sponsor will only award the remaining prizes based upon each tied Entrant’s time the Entry was received by Sponsor (from earliest to latest). Lastly, in the event any Winner is not eighteen (18) years of age, that Winner will be deemed ineligible and the respective prize will be null and void, and Stash101 will not replace that respective Winner or prize with an alternate.

The “Game Prize Pool” will be determined based on the following: (i) at the start of the Game Period, the Game Prize Pool will be USD $100; plus (ii) for every successful Entry that is submitted prior to the start of the Game Period, the Game Prize Pool will increase by USD $1.00, up to a maximum amount of USD $4,900. For example, if there are 1,000 successful Entries submitted prior to the start of the Game Period, then the Game Prize Pool will be USD $1,100. For the avoidance of doubt, the Game Prize Pool will never be higher than, and is limited to a maximum amount of, USD $5,000.

Total ARV of all prizes awarded during the Game Period: up to USD $5,000.00. All Prizes awarded will be payable in the form of one (1) TangoCard redeemable at www.tangocard.com and are subject to terms and conditions of the issuer associated therewith. All Prize Winners must redeem/claim their prize on Tangocard.com within sixty days (60) of issuance by Stash101, or any unredeemed/unclaimed portion of the TangoCard prize will be forfeited and Prize Winner will not receive any additional compensation for any unredeemed/unclaimed portion of their TangoCard. ALL EXPENSES, TAXES AND COSTS ASSOCIATED WITH ACCEPTANCE AND USE OF ANY PRIZE NOT SET FORTH IN THESE OFFICIAL RULES ARE THE OBLIGATION OF THE WINNERS. Sponsor is not responsible for lost, stolen or any unused portion of any prize. Cash substitutions and/or any other prize substitutions are not allowed, except at the sole discretion of Sponsor. Prize cannot be assigned or transferred, except at discretion of Sponsor. Prizes are awarded WITHOUT WARRANTY OF ANY KIND from Sponsor, express or implied, without limitation. Prizes will be distributed to Winners within five (5) business days following the Game Period. Prizes will be distributed to Winners within five (5) business days following Winner confirmation.

GENERAL TERMS: Stash101, including this Game, is offered solely for informational and educational purposes and is provided free of charge. All statements, opinions, and analyses presented within Stash101 are provided as general information. Opinions, estimates and probabilities expressed constitute the judgment of the author as of the date indicated, and are subject to change without notice. Educational information is incomplete and does not include all of the information material to make a decision to invest.

While Stash101 is affiliated with Stash Investments LLC (“Stash RIA”), an SEC-registered investment adviser, Stash101 is not an investment adviser and is separate and apart from StashRIA. Nothing contained herein is intended to be, nor shall it be construed as, investment advice, nor is it to be relied upon in making any investment or other decision. Stash101 does not provide any investment advice nor does it engage in actual trading of securities. Prior to making any investment decision you are advised to consult with your broker, investment adviser, or other appropriate tax or financial professional to determine the suitability of any such investment.

Each Winner will be notified by Sponsor or Sponsor’s designee PCG365 LLC, by email and telephone within approximately ten (10) days following the completion of each Game Period. Each Winner will be required to complete, sign, execute and return an Affidavit of Eligibility and Liability, a Liability Release, and where legal, a Publicity Release within five (5) days of first attempted notification. If Sponsor or PCG365 LLC is unable to contact a Winner after reasonable effort, or a Winner fails to respond within five (5) days of the second and final attempted notification, that prize will be forfeited and not awarded. First Place, Second Place and Third Place Prize Winners may be required to provide their social security number to Sponsor and PCG365 including the completion of IRS W9 Form. If a First Place, Second Place or Third Place Prize Winner fails to provide Sponsor or PCG365 LLC with his/her social security number when required, that prize winner will be disqualified and that prize will not be awarded.

By entering, all Entrants (a) agree to be bound by these Official Rules and the decisions of Stash101 (including but not limited to eligibility determinations) which are final and legally binding in all respects; (b) agree to release Stash101 and each of its employees and agents from any and all liability, loss, damage or injury resulting from participation in this Game or awarding, receipt, possession, use and/or misuse of any prize awarded herein and acknowledge that Stash101 and its employees and agents have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize including, but not limited to, its quality, mechanical condition or fitness for a particular purpose; (c) consent to use of his/her/their name, photograph and/or likeness for advertising, marketing, and promotional purposes in connection with this Game without additional compensation, unless prohibited by law (including any announcements made by Stash101 of the list of Winners); (d) agree to Stash101’s use of Entrant’s personal information as described in Stash101’s Privacy Policy; and (e) for prize fulfillment purposes, any Entrants that are awarded a prize hereunder hereby agree to authorize Stash101, its or its affiliates’ employees, or its designee PCG365 LLC, to upload their full name, email address, and any other information required to fulfill their respective prize through www.tangocard.com, and agree to use of their personal information as described in Tango’s privacy policy.

By accepting receipt of these Official Rules and/or participating in the Game, you acknowledge and agree to hold harmless Stash101, its affiliates, and its or their respective officers, directors, members, agents, representatives, employees or contractors from any and all claims, actions, damages, losses, liabilities, costs and expenses of any kind, whatsoever, including but not limited to any claims of negligence, arising out of or resulting from, for any reason, or in connection with the use of the Game Platform and or participation in this Game.

INTERNET/WIRELESS: If, for any reason, the Internet portion of this Game is not capable of running as planned, whether due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Game, Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Game. In the event of termination, Sponsor may award prizes to Winners in its sole discretion from Entries received up until the time of termination. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Game. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute, Entries will be declared made by the authorized account holder of the email address submitted at time of entry or attributable to such Entrant’s Stash101 Account. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted e-mail address.

DISPUTES: This Game is governed by the laws of the United States and the State of New York, without respect to conflict of law doctrines. As a condition of participating in this Game, Entrants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Game, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will Entrants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, and each Entrant further waives all rights to have damages multiplied or increased.

PUBLICITY: By accepting a prize, each Winner agrees to grant Sponsor the right, except where prohibited by law, to use his/her/their name, likeness, picture, address (city and state), e-mail address, voice, biographical information, hometown, testimonial, video, and written or oral statements, for advertising and promotional purposes, including social media purposes, in promoting or publicizing Sponsor and its respective products or services in any media now known or hereinafter developed, worldwide, without compensation unless required by law in Sponsor’s sole discretion. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of any use described in this paragraph, or entry. The rights granted under this paragraph shall extend to submissions and all other submitted materials related to the Game, including those submitted by non-winners and winners.
