Stock-Back® Community Rewards Program

Terms and Conditions

Effective November 9, 2020 for Stock-Back® participants who receive an invitation from Stash to participate in the program described herein

General Description

The Stock-Back® Community Rewards Program (the “Program”) is a rewards program offered by Stash Financial, Inc. and/or its affiliates (collectively, “Stash”) to its customers that supplements its Stash Stock-Back® Rewards program – a rewards program offered by Stash in which a Stash banking account holder may choose to participate that enables such holder to earn fractional shares of stock of certain publicly-traded companies and/or exchange-traded funds on certain qualifying purchases made using a Stock-Back® Card. All references to the “Stock-Back® Card” or “debit card” hereunder refer to a permanent or virtual Stash Debit card issued by Green Dot Bank, Member FDIC.

Upon making each Qualifying Transaction between 8:00 AM (ET) on November 9, 2020 and 8:00 AM (ET) on November 16, 2020 (the “Program Period”), you will be eligible to claim one (1) Stock-Back® Community Bonus Reward, as further described below.

This Program is subject to the terms and conditions stated herein (the “Program Terms”). By choosing to participate in this Program, you are accepting and agreeing to these Program Terms. These Program Terms form an agreement between you and Stash with respect to the Program. You should read these Program Terms carefully.  

Eligibility

To be eligible to participate in this Program, you must: (i) have both a Stash Invest account and a Stash Banking account, both of which must be in good standing (as further described below), (ii) be enrolled as a participant in the Stash Stock-Back® Rewards program, which is governed by the Stock-Back® Rewards Terms and Conditions (the “Stock-Back® Program Terms”) and adhere to the Stock-Back® Program Terms and meet the eligibility requirements set forth therein, (iii) have linked a funding account (e.g. an external bank account) to your Stash Banking account, and (iv) have successfully activated your Stock-Back® Card. If you satisfy the conditions in the previous sentence during the Program Period, you will be deemed an “Eligible Participant” hereunder. 

See the full Stock-Back® Program Terms referenced above, which you agreed to when you joined that program, for important disclosures about that program. The Stock-Back® Program Terms are incorporated herein by reference with the same force and effect as though fully set forth herein. Not all Eligible Participants will receive marketing messaging directly from Stash regarding this Program, including messaging about the amount of Qualifying Transactions collectively made by all Eligible Participants during the Program Period and/or the amount of each Stock-Back® Community Bonus Reward, as further described below. Stash reserves the right to determine which Eligible Participants to send marketing messaging to regarding this Program. By participating in this Program and accepting these Program Terms, you authorize Stash to share certain information relating to any Stock-Back® rewards you’ve earned under the Stock-Back® Program Terms or any Stock-Back® Community Bonus Rewards you’ve earned under this Program with other Eligible Participants. Stash’s use of such information will be governed by and used in accordance with Stash’s Privacy Policy, which can be found at https://www.stash.com/theprivacypolicy, and the Stock-Back® Program Terms. 

Stash and/or Green Dot Bank reserve the right to determine in its and/or their sole or joint discretion whether an account is closed and/or in good standing. An account in good standing for purposes of this Program is an account for which all required account opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If either your Stash Banking account or Stash Invest account is closed or not in good standing for any reason at any time, you will no longer be able to participate in this Program and you will forfeit any Stock-Back® Community Bonus Rewards received hereunder. A Stash Invest account is a taxable brokerage account advised by Stash Investments LLC.

A Stash Banking account opened hereunder is also subject to approval by Green Dot Bank, Member FDIC. You must pass Green Dot Bank’s customer identification procedures and otherwise be approved by Green Dot Bank for a Stash Banking account, and you must agree to electronic delivery of disclosures, Green Dot Bank’s deposit account agreement, and any other account documentation required for opening in order to open a Stash Banking account. There is no guarantee that you will be approved to open a Stash Banking account.

Qualifying Transactions

The term “Qualifying Transaction” shall mean all qualifying debit card purchases as described in the Stock-Back® Program Terms that are authorized by an Eligible Participant and a hold was placed on such Eligible Participant’s Stock-Back® Card for the purchase amount during the Program Period. Upon each Qualifying Transaction made by you during the Program Period, you will be eligible to claim one (1) Stock-Back® Community Bonus Reward, as further described below.

Further and for the avoidance of doubt, the following transactions are not Qualifying Transactions and thus are ineligible for purposes of this Program: (1) transactions conducted at an ATM, cash teller withdrawals, and cash withdrawals at point-of-sale, (2) the purchase of money orders or other cash-equivalents (cash-equivalents include, but are not limited to: third-party gift cards or gift certificates, prepaid open loop cards, coupons, currency, virtual currency, coins, paper money, negotiable items not yet deposited, U.S. treasury bills and commercial paper), and (3) transactions conducted through peer-to-peer (“P2P”) payment services and third-party payment accounts (including but not limited to services such as Venmo®, Square, Inc.’s CashApp® and PayPal® and other similar services) where the funding source is a Stash Banking account or the Stock-Back® Card.

In addition, transactions deemed by Stash in its sole discretion to have been manufactured spend will not constitute a Qualifying Transaction. Stash also reserves the right to reverse the credit of any prize hereunder in the event the Qualifying Transaction giving rise to the prize is the subject of a return, credit, chargeback or similar rescinded transaction. Stash in its sole discretion will determine whether a particular transaction is a Qualifying Transaction hereunder. You will not earn any Stock-Back® Community Bonus Rewards if you do not make any Qualifying Transactions during the Program Period.  

Amount of Stock-Back® Community Bonus Rewards

The total number of Qualifying Transactions collectively made by all Eligible Participants during the Program Period will determine the amount of each Stock-Back® Community Bonus Reward, provided, however, that each Eligible Participant’s first Qualifying Transaction made during the Program Period will count as five (5) Qualifying Transactions for purposes of calculating the total number of Qualifying Transactions collectively made by all Eligible Participants during the Program Period. Subject to the terms and conditions stated herein, the following chart identifies the total amount of Qualifying Transactions that all Eligible Participants need to collectively make during the Program Period in order to determine the Stock-Back® reward bonus multiplier attributable to each Qualifying Transaction (each, a “Stock-Back® Community Bonus Reward”):

Between 925,000+ Qualifying Transactions	5x

For example, once all Eligible Participants collectively make their 575,000th Qualifying Transaction during the Program Period, the multiplier attributable to that and each subsequent Qualifying Transaction made by an Eligible Participant will increase from 1x to 1.5x until all Eligible Participants collectively have made their 824,999th Qualifying Transaction. Further, once all Eligible Participants collectively make their 825,000th Qualifying Transaction during the Program Period, the multiplier attributable to that and each subsequent Qualifying Transaction made by an Eligible Participant will increase from 1.5x to 2x until all Eligible Participants collectively have made their 924,999th Qualifying Transaction, and so forth.

Each Stock-Back® Community Bonus Reward will be a dollar amount equal to that Eligible Participant’s base reward percentage of each Qualifying Transaction, as noted in the Stock-Back® Program Terms and attributable to such Eligible Participant’s Stash platform tier (as applicable), multiplied by the reward amount multiplier noted above. The total Stock-Back® Community Bonus Reward is inclusive of your base reward. You are only eligible to receive one (1) Stock-Back® Community Bonus Reward upon each Qualifying Transaction made by you during the Program Period. Each Stock-Back® Community Bonus Reward will also be limited to a maximum cash value of $25.00, which shall be calculated by Stash in its sole discretion. 

Stock-Back® Bonus Level Rewards hereunder will be fulfilled and credited in the manner noted in the Stock-Back® Program Terms.

Stash Investments LLC is an SEC registered investment adviser. You may view our Wrap Fee Brochure and our Advisory Agreement at https://www.stash.com/disclosurelibrary. You remain responsible for ancillary fees that are not included in the monthly Wrap Fee. A list of such ancillary fees is included in our Advisory Agreement.  

When determining whether a transaction is deemed a Qualifying Transaction and/or when calculating each Stock-Back® Community Bonus Reward, you acknowledge and agree that Stash hereby makes no representation or warranty that the transaction data it receives is accurate or timely. If Stash receives transaction data that is delayed, incorrect, incomplete or mismatched, Stash will use reasonable efforts to determine whether such transaction constitutes a Qualifying Transaction and/or is eligible for a Stock-Back® Community Bonus Reward. You hereby acknowledge and agree that neither Stash nor any of its affiliates shall be liable for any delayed, incorrect, incomplete or mismatched information that Stash receives in connection with this Program. Stash’s services for matching Qualifying Transactions to Stock-Back® Community Bonus Rewards are provided “AS IS” and without warranties of any kind, either express or implied. Stash cannot warrant that such matching services will be error-free or that defects in the matching services will be corrected. If you believe that a Stock-Back® Community Bonus Reward has not been properly credited to you in accordance with these Program Terms, you agree to notify Stash promptly.

This Program is supplemental to the Stock-Back® Rewards Bonus Terms and Conditions (the “Stock-Back® Rewards Bonus Terms”), meaning that any Qualifying Transactions made during the Program Period will also qualify for rewards under the Stock-Back® Rewards Bonus Terms. Further, Stash may implement multiple, varying versions of its Stock-Back® Rewards program and/or promotions related to its Stock-Back® Rewards program as of or after the effective date noted above (each, an “Additional Stock-Back® Rewards Program”). Accordingly, any rewards prescribed under each Additional Stock-Back® Rewards Program are expressly exempt for purposes of this Program.

By participating in this Program, you further agree not to provide any investment advice to any other participants in this Program, or offer or solicit any investment advice to or from any other other participants in this Program. You represent and warrant that by participating in this Program you will not solicit any advisory services or the purchase or sale of any securities on behalf of Stash, any such user of Stash or any third party.
