Stash Stock-Back® Card Stock Round-Ups Program Terms and Conditions
Effective August 1, 2022 (the “Effective Date”) for Stock-Back® participants who receive an invitation directly from Stash to participate in the program described herein
General Description
The Stash Stock-Back® Card Stock Round-Ups Program (the “Program”) is a rewards program offered by Stash Financial, Inc. and/or its affiliates (collectively, “Stash”) to its customers that supplements its Stash Stock-Back® Rewards program – a rewards program offered by Stash in which a Stash banking account holder may choose to participate that enables such holder to earn fractional shares of stock of certain publicly-traded companies and/or exchange-traded funds upon making certain qualifying purchases using their Stock-Back® Card. This Program enables Eligible Participants to make a Stock-Back® Round-Ups Purchase upon making each Qualifying Purchase with their Stock-Back® Card, as further described below. All references to the “Stock-Back® Card” hereunder refer to a physical or virtual Stash Stock-Back® Debit Mastercard® (the “Stock-Back® Card”) issued by Stride Bank, N.A. Member FDIC, pursuant to license from Mastercard International Incorporated.
This Program is subject to the terms and conditions stated herein (the “Program Terms”). By choosing to participate in this Program, you are accepting and agreeing to these Program Terms. These Program Terms form an agreement between you and Stash with respect to the Program. You should read these Program Terms carefully.
Eligibility For Participation
To be eligible to receive an invitation from Stash to participate in this Program, you must satisfy (or have satisfied) each of the following conditions on or after the Effective Date (each, an “Eligible Participant”): (i) complete the designated registration process of opening both an individual taxable brokerage account advised by Stash Investments LLC (a “Personal Portfolio”) and a Stash banking account powered by Stride Bank, N.A. Member FDIC (a “Stash Banking account”), both of which must be in good standing (as further described below), (ii) enroll as a participant in the Stash Stock-Back® Rewards program, which is governed by the Stash Stock-Back® Rewards Terms and Conditions (the “Stock-Back® Program Terms”) and adhere to the Stock-Back® Program Terms and meet the eligibility requirements set forth therein, (iii) link a funding source (e.g. an external bank account) to your Stash Banking account, and (iv) activate your Stock-Back® Card in accordance with Stash and/or Stride’s policies.
See the full Stock-Back® Program Terms referenced above, which you agreed to when you joined that program, for important disclosures about that program. The Stock-Back® Program Terms are incorporated herein by reference with the same force and effect as though fully set forth herein. Stash reserves the right to determine who to send invitations to hereunder and whether to rescind any invitations that are not accepted in accordance with these Program Terms.
Stash and/or Stride reserve the right to determine in its and/or their sole or joint discretion whether an account is closed and/or in good standing. An account in good standing for purposes of this Program is an account for which all required account opening documentation has been completed and verified, and is not locked, or restricted, or otherwise flagged in any way. If either your Stash Banking account or your Personal Portfolio is closed or not in good standing for any reason at any time, you will no longer be deemed an Eligible Participant and you will forfeit your eligibility to participate in this Program.
For the avoidance of doubt: in the event you only complete the designated registration process to receive the Financial Counseling Service (if applicable to you, as such term is defined in your Advisory Agreement) from Stash, or you do not otherwise complete the designated registration process required for opening both a Personal Portfolio and Stash Banking account in accordance with the above, you will not be eligible to participate in this Program.
Qualifying Purchases
The term “Qualifying Purchases” hereunder shall mean each point-of-sale purchase or online purchase made by an Eligible Participant using their Stock-Back® Card associated with their Stash Banking account that was authorized by such Eligible Participant and a hold was placed on their Stock-Back® Card for the purchase amount. The following transactions, however, made by an Eligible Participant with a Stock-Back® Card associated with their Stash Banking account will not constitute Qualifying Purchases and thus are ineligible for purposes of this Program: (1) transactions conducted at an ATM, cash teller withdrawals, and cash withdrawals at point-of-sale, (2) the purchase of money orders or other cash-equivalents (cash-equivalents include, but are not limited to: third-party gift cards or gift certificates, prepaid open loop cards, coupons, currency, virtual currency, coins, paper money, negotiable items not yet deposited, U.S. treasury bills and commercial paper), and (3) transactions conducted through peer-to-peer (“P2P”) payment services and third-party payment accounts (including but not limited to services such as Venmo®, Square, Inc.’s CashApp® and PayPal® and other similar services). In addition, transactions deemed by Stash in its sole discretion as manufactured spend will not constitute a Qualifying Purchase. Stash also reserves the right in our sole discretion to reverse the credit of any Stock-Back® Round-Ups Purchase(s) in the event an Eligible Participant’s Qualifying Purchase(s) is (i) the subject of a return, credit, chargeback or similar rescinded transaction, or (ii) does not subsequently and successfully post to your Stash Banking account.
We reserve the right to determine in our sole discretion whether a particular transaction constitutes a Qualifying Purchase hereunder. Eligible Participants will not be eligible to make Stock-Back® Round-Ups Purchases hereunder if they do not make any Qualifying Purchases.
Stock-Back® Round-Ups Purchases
Each Eligible Participant that receives an invitation to participate in this Program must accept their invitation by clicking or tapping the “Turn on Stock Round-ups” icon in accordance with the interactive instructions displayed through the Stash mobile application and/or website (the “Stash Platform”) in order to successfully enter the Program. Once an Eligible Participant agrees to enter the Program in accordance with the previous sentence, they will be eligible to make Stock-Back® Round-Ups Purchases, as further described below.
Accordingly, by entering this Program you acknowledge and agree that upon making each Qualifying Purchase hereunder, you are authorizing Stash or its affiliates to transfer “Stock Round-ups”, as defined and described below, from your available funds from your Stash Banking account into the cash balance of your Personal Portfolio in accordance with these Program Terms. A “Stock Round-up” is the difference between the value of a Qualifying Purchase made by you and the next highest whole dollar amount that is greater than the value of such Qualifying Purchase, except for any Qualifying Purchase where the amount of goods or services purchased by you is equal to an exact whole dollar amount or as otherwise described below. As an example, if you make a Qualifying Purchase of $5.20, your Stock Round-up associated with that Qualifying Purchase will be equal to $0.80 since $6.00 is the next highest whole dollar amount greater than the value of that Qualifying Purchase. Alternatively, if you make a Qualifying Purchase of $5.00, there will be no Stock Round-up associated with that Qualifying Purchase. You also hereby acknowledge and agree that if you either do not have sufficient funds in your Stash Banking account to cover any Stock Round-up or if your Qualifying Purchase associated with a Stock Round-up fails to successfully post to your Stash Banking account, then that corresponding Stock Round-up transaction will not be completed. For the avoidance of doubt, Stock Round-ups will only be completed in connection with any Qualifying Purchases you make during the time(s) that you have agreed to enter this Program.
Once a Qualifying Purchase associated with a Stock Round-up successfully posts to your Stash Banking account, then by entering this Program you are agreeing that Stash will automatically withdraw the amount of cash corresponding to your Stock Round-up from your Stash Banking Account, and transfer those funds into your Personal Portfolio and immediately initiate a “buy” order in the amount of the Stock Round-up in a fractional share of stock of the specific underlying publicly-traded company and/or exchange-traded fund constituting your Stock-Back® base reward attributable to the Qualifying Purchase, as governed by the Stock-Back® Program Terms (each such transaction shall be deemed a “Stock-Back® Round-Ups Purchase”). For example, if you make a Qualifying Purchase of $5.20 at a merchant that Stash has made available through the Stash Stock-Back® Rewards program, your Stock Round-up associated with that Qualifying Purchase will be equal to $0.80. Accordingly, once that Qualifying Purchase successfully posts to your Stash Banking account, Stash will automatically withdraw $0.80 from your Stash Banking account, deposit the $0.80 into your Personal Portfolio and immediately initiate a Stock-Back® Round-Ups Purchase in the amount of $0.80 in publicly-traded stock of that specific merchant. For the avoidance of doubt, you will also receive a Stock-Back® base reward attributable to your Qualifying Purchase in publicly-traded stock of that specific merchant, as governed by the Stock-Back® Program Terms.
Notwithstanding anything to the contrary herein, in most cases the minimum Stock-Back® Round-Ups Purchase amount will be $0.01, provided however that if you make a Qualifying Purchase at a merchant that Stash has made available through the Stash Stock-Back® Rewards program, and that merchant’s publicly-traded stock is (i) trading over $1,000.00 but less than $2,000.00 as of the date of your Qualifying Purchase, then the minimum Stock-Back® Round-Ups Purchase that can be processed under this Program is $0.02; (ii) trading over $2,000.00 but less than $3,000.00 as of the date of your Qualifying Purchase, then the minimum Stock-Back® Round-Ups Purchase that can be processed under this Program is $0.03; (iii) trading over $3,000.00 but less than $4,000.00 as of the date of your Qualifying Purchase, then the minimum Stock-Back® Round-Ups Purchase that can be processed under this Program is $0.04, and so forth. Accordingly, if you make a Qualifying Purchase at a merchant that has a minimum Stock-Back® Round-Ups Purchase greater than $0.01, and the amount of your Stock Round-up is less than the minimum Stock-Back® Round-Ups Purchase amount attributable to that merchant, then the amount of your Stock Round-up for that Qualifying Purchase will be adjusted to match that merchant’s minimum Stock-Back® Round-Ups Purchase amount. For example, if you make a $5.99 Qualifying Purchase at Company X, and Company X’s publicly-traded stock at the time of your Qualifying Purchase is trading over $2,000.00 but less than $3,000.00, then your Stock Round-up will be adjusted from $0.01 to $0.02. Accordingly, once that Qualifying Purchase successfully posts to your Stash Banking account, Stash will automatically withdraw $0.02 from your Stash Banking account, deposit the $0.02 into your Personal Portfolio and immediately initiate a Stock-Back® Round-Ups Purchase in the amount of $0.02 in publicly-traded stock of Company X.
If publicly-traded stock of the merchant (or a subsidiary thereof, if applicable) attributable to a Qualifying Purchase is available through the Stash Stock-Back® Rewards program, then your Stock-Back® Round-Ups Purchase will be in publicly-traded stock of that specific merchant. Alternatively, if publicly-traded stock of the merchant (or a subsidiary thereof, if applicable) attributable to a Qualifying Purchase is not available through the Stash Stock-Back® Rewards program or otherwise capable of being fulfilled for any reason, or if the Qualifying Purchase is made at a merchant that issues publicly-traded units in a master limited partnership, your Stock-Back® Round-Ups Purchase arising from that Qualifying Purchase will be in shares of one of a predetermined selection of exchange-traded funds (“ETFs”) or publicly-traded companies available on the Stash platform (the “Default Investments”). Stash will determine the list of such Default Investments in its sole discretion and may change the predetermined selection of Default Investments from time-to-time. Stash may also offer you, from time to time, the ability to select or change your Default Investment via the Stash Platform. Eligible Participants will only be eligible to make one (1) Stock-Back® Round-Ups Purchase per Qualifying Purchase.
Each Stock-Back® Round-Ups Purchase will be limited to a maximum cash value of $0.99, and shall be fulfilled by Stash in its sole discretion. Stock-Back® Round-Ups Purchases will be completed within five (5) business days following the date that your Qualifying Purchase successfully posts to your Stash Banking account.
By participating in this Program, you grant Stash Investments LLC the limited discretionary authority required to complete the securities transaction necessary to complete each Stock-Back® Round-Ups Purchase. Specifically, Stash Investments LLC will have discretion over the Stock Round-up amount credited to your Personal Portfolio pursuant to these Program Terms only to the limited extent necessary to fulfill any Stock-Back® Round-Ups Purchase(s).
This discretionary authority is in addition to the limited discretionary authority you have already granted to Stash Investments LLC pursuant to the Advisory Agreement, as amended, that you agreed to when you opened your Personal Portfolio. Accordingly, your acceptance of these Program Terms and participation in the Program expressly amends and modifies your Advisory Agreement as of the date you initially accept these terms, and you are hereby notified of such amendment and modification by these terms.
By agreeing to enter this Program, you are authorizing Stash Investments LLC to direct, and Stash Capital LLC to execute, all buy orders associated with your Stock-Back® Round-Ups Purchase(s). For the avoidance of doubt, you have the ability to sell any security comprising a Stock-Back® Round-Ups Purchase made under this Program after the order is completed in your Personal Portfolio.
By making a Stock-Back® Round-Ups Purchase, you are making a decision to invest in that specific underlying security and you agree that it is your responsibility to review and carefully consider that security, including the information available to you through the Stash Platform about such security, before entering this Program or making any Qualifying Purchases and/or Stock-Back® Round-Ups Purchases hereunder. Neither this Program itself, not the security available to be purchased through it, is a recommendation to buy any such specific security. The value of any Stock-Back® Round-Ups Purchase may fluctuate over time due to a variety of factors. Please refer to the Stash Platform for a list of all investments that are available for purchase. Stash reserves the right to change the list of investments available on the Stash Platform at any time and from time to time in its sole discretion.
Opting Out of the Program
You may opt-out of this Program at any time by clicking or tapping the “Turn off Stock Round-ups” icon in accordance with the interactive instructions displayed through the Stash mobile application, or by contacting us at (800) 205-5164 or support@stash.com. It may take up to three (3) business days after you choose to disable your participation in the Program before you are no longer enrolled. If you opt-out of the Program, you will not make any Stock-Back® Round-Ups Purchases.

You remain responsible for ancillary fees that are not included in the monthly Wrap Fee. A list of such ancillary fees is included in our Advisory Agreement. This Program is sponsored by Stash Cash Management LLC, a wholly-owned subsidiary of Stash Financial, Inc. and an affiliate of Stash Investments LLC. Stash Cash Management LLC is not a bank or depository institution licensed in any jurisdiction.
Stash may implement multiple, varying versions of its Stock-Back® Rewards program and/or promotions related to its Stock-Back® Rewards program as of or after the Effective Date (each, an “Additional Stock-Back® Rewards Program”). Any rewards prescribed under each Additional
Stock-Back® Rewards Program are independent from this Program. The Additional Stock-Back® Rewards Programs offered to you may be different from the Additional Stock-Back® Rewards Programs offered to another client. Separate terms and conditions will govern any such Additional Stock-Back® Rewards Program.
Our services matching Qualifying Purchases and Stock-Back® Round-Ups Purchases to stock rewards are provided “AS IS” and without warranties of any kind, either express or implied. We cannot warrant that such matching services will be error-free or that defects in the matching services will be corrected.

Stash is not responsible for any failure on your part to meet the standards for qualifying for this Program. Stash may withhold or recover any Stock-Back® Round-Ups Purchases if Stash determines that such rewards were obtained under wrongful or fraudulent circumstances, or were awarded to you in error, or that you received an invitation to participate in this Program in error, or that inaccurate or incomplete information was provided when opening your account(s), or that any terms of our Advisory Agreement, Terms of Use, or these Program Terms have been violated. Program available to U.S residents only. The value of any cash or stock rewards received by you may be taxable income to you. You are responsible for any federal or state taxes resulting from receipt of any rewards and should consult your tax advisor if you have questions about the tax treatment of any rewards.
If, for any reason, this Program is not capable of running as planned, whether due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Stash which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Program, Stash reserves the right in its sole discretion, to disqualify any individual who tampers with this Program, and to cancel, terminate, modify or suspend this Program. Stash assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, this Program.
